Main themes
The course begins by teaching Belgian company law. Most of the course is devoted to the law governing public limited companies. This is examined in detail with regard to its constitution, its securities, its administration, its general meeting and its capital. The specific features of limited liability companies and cooperative societies are explained. As an introduction to financial law, the course also covers the specific features of listed companies.
Learning outcomes

At the end of this learning unit, the student is able to :

2 Mastering and applying
Master the content of the main rules of positive Belgian law in all its branches, as well as those of European law and international law, be able to compare the essential features with some foreign systems and be able to move from the abstraction of the rule of law to the facts, even if they are presented in a complex manner, and vice versa.
2.1. Have an up-to-date knowledge and general grasp of the principles, rules, theories, doctrines and case law that shape company law.
2.2 Know and understand the influence of certain European and international standards and institutions on this branch of law.
2.5. In one or other branch of law, be able to diagnose a complex legal problem independently and creatively, identifying its difficulties in minute detail, eliminating peripheral elements, and providing well-argued solutions based on in-depth research, presented in a clear summary underpinned by thorough, coherent and credible legal reasoning.

2.6. Be able to move from the abstraction of the rule of law to the concrete facts, and vice versa.
 
4 Reflect and participate
Update your knowledge, see the links between the different branches of law, form your own opinions and, where appropriate, build on the experience gained from a work placement or exchange trip.
4.2. Identify, mobilise and express the links, bridges and extensions between the different branches of law in order to analyse a factual situation.
 
6 Getting organised and adapting
Organise your work, be able to adapt to new contexts and develop positively in them, having integrated a logic of continuous development.
6.2 Identifies and integrates, independently, the new knowledge and skills required to rapidly grasp new contexts and/or situations, identifies his/her limits and calls on appropriate external resources if necessary.
 
Content
This course outlines Belgian company law. After describing the general concepts of this branch of law (definition of the company and its constituent elements, concept and consequences of legal personality), the rules applicable to different types of company are set out, with particular emphasis on the public limited company and the limited liability company.
Teaching methods
Lecture course, completed if necessary by other teaching methods.
Students are expected to complete their learning with readings and personal work.
